Terms of Service

These terms govern your use of the ManageVendors platform and services.

1. Acceptance of Terms

By accessing or using ManageVendors (“the Service”), operated by ManageVendors (“we,” “us,” “our”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

ManageVendors is a vendor risk intelligence platform that monitors publicly available information about SaaS vendors, including but not limited to:

  • Pricing page changes and historical trends
  • Terms of Service and privacy policy modifications
  • Status page incidents and outages
  • Changelog and API deprecation announcements
  • Publicly available financial and social signals

The Service aggregates this publicly available data and provides analysis, alerts, and recommendations to help organizations manage vendor risk.

3. Accounts and Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access to your account
  • Accept responsibility for all activity under your account

We support authentication via email magic links and OAuth providers (Google, GitHub). We do not store passwords.

4. Subscription Plans and Billing

4.1 Plans

The Service offers Free, Starter, Professional, and Enterprise plans. Plan features, vendor limits, and pricing are described on our pricing page and may be updated from time to time.

4.2 Billing

Paid plans are billed monthly via Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis. All fees are in US dollars and are non-refundable except as required by law.

4.3 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the end of the current billing period.

4.4 Price Changes

We will provide at least 30 days notice before any price increases take effect. You may cancel your subscription before the price change takes effect.

5. Acceptable Use

You agree not to:

  • Use the Service to violate any applicable law or regulation
  • Attempt to gain unauthorized access to other users' data or accounts
  • Use the Service to copy or redistribute vendor data for commercial resale
  • Interfere with or disrupt the Service's infrastructure
  • Use automated tools to access the Service in a manner that exceeds reasonable usage (rate limits apply)
  • Reverse engineer, decompile, or disassemble any part of the Service

6. Data and Privacy

6.1 Your Data

You retain ownership of all data you provide to the Service, including your organization settings, monitoring configurations, and alert preferences. We do not claim ownership of your data.

6.2 Vendor Data

The vendor intelligence we provide is derived from publicly available sources. We do not guarantee the accuracy, completeness, or timeliness of vendor data. Our AI-generated analyses and predictions are provided for informational purposes and should not be the sole basis for business decisions.

6.3 Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Intellectual Property

The Service, including its design, code, algorithms, health scoring methodologies, AI models, and historical data compilations, is our proprietary intellectual property. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription period.

8. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by factors outside our control, including third-party vendor outages, internet connectivity issues, or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by law, ManageVendors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that vendor data will be accurate, complete, or current. AI-generated analyses are probabilistic and should be verified independently before making critical business decisions.

11. Termination

11.1 By You

You may cancel your account at any time through the dashboard settings. Cancellation takes effect at the end of your current billing period. Your data will be retained for 30 days after cancellation, after which it will be permanently deleted.

11.2 By Us

We may suspend or terminate your account if you violate these Terms, fail to pay fees when due, or if required by law. We will provide reasonable notice before termination except in cases of egregious violations or legal requirements.

12. Dispute Resolution

Any disputes arising from these Terms shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association. You agree to waive any right to participate in class action lawsuits against ManageVendors.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
